Please read these Terms of Service carefully before accessing or using the SHIFT7 suite of products, including the SHIFT7 1173 compliance engine and the LeadGen regulatory intelligence platform. By registering, accessing, or using SHIFT7, you agree to be bound by all terms, conditions, disclaimers, and limitations of liability outlined herein.

Software Tooling & Regulatory Data Provision Only
SHIFT7 provides software infrastructure, regulatory data aggregations (LeadGen), and algorithmic compliance tracking tools (API RP 1173 platform) designed to assist pipeline service contractors, safety consultants, and business development teams. SHIFT7 is strictly a software technology vendor.
SHIFT7 does not provide legal, regulatory, engineering, environmental, or professional safety consulting advice. Information aggregated through LeadGen—including filings, notices, and enforcement actions from EPA, OSHA, PHMSA, and FERC—is provided purely for informational and intelligence purposes. Use of SHIFT7 tools, automated maturity scoring, gap engine outputs, and generated report roadmaps does not constitute legal counsel or formal regulatory certification.
No Affiliation With the American Petroleum Institute (API)
SHIFT7 is an independent software platform and is not affiliated with, endorsed by, sponsored by, or officially associated with the American Petroleum Institute (API), or any of its subsidiaries or affiliates.
The SHIFT7 application was built independently by leveraging publicly available information, specifically the 56 contractor requirement topics defined under API Recommended Practice 1173 (API RP 1173), combined with internal software architecture and practical industry expertise. All references to "API", "API RP 1173", or specific standard topic descriptions are used strictly for descriptive and reference purposes under nominative fair use to indicate framework compatibility. "API" and "American Petroleum Institute" are registered trademarks of the American Petroleum Institute.
Disclaimer of Warranties & Public Data Integrity
To the maximum extent permitted under applicable law, the SHIFT7 platform, LeadGen regulatory tracking feed, 1173 scoring engines, calculations, and exported reports are provided strictly on an "AS IS" and "AS AVAILABLE" basis, with all faults and defects, without warranty of any kind.
LeadGen aggregates public records from third-party government databases (EPA, OSHA, PHMSA, FERC). SHIFT7 does not warrant the accuracy, timeliness, completeness, or availability of third-party agency records. SHIFT7 explicitly disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.
Limitation of Liability
Under no circumstances shall SHIFT7, its parent entity, officers, directors, employees, partners, agents, or suppliers be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of or inability to use the platform or LeadGen regulatory tools.
This limitation applies without restriction to any claims involving:
- Inaccuracies, delays, omissions, or errors in LeadGen regulatory notifications, permit logs, or enforcement data.
- Lost business opportunities, missed bids, failed outreach campaigns, or unearned revenue resulting from LeadGen data usage.
- Fails, rejections, or disqualifications during third-party operator audits or pre-qualification reviews.
- Regulatory fines, penalties, sanctions, or enforcement actions issued by federal, state, or regional pipeline safety authorities.
- Operational disruptions, site incidents, injuries, property damage, or safety events occurring on field job sites.
In any event, the total aggregate monetary liability of SHIFT7 for all claims arising under or related to these terms shall be strictly capped at the total amount actually paid by your organization to SHIFT7 for access to the service during the 12 months immediately preceding the event giving rise to liability, or $100.00 USD, whichever amount is lesser.
User Accountability & Business Development Decisions
You acknowledge and agree that all business development outreach, client communications, compliance filings, policies, evidence documents, and audit responses executed or uploaded using SHIFT7 or LeadGen are the sole responsibility of your organization and authorized users.
SHIFT7 does not audit, verify, or warrant the truthfulness or legality of user-uploaded documentation or business decisions made using LeadGen intelligence. You are solely responsible for conducting independent verification before taking commercial or operational actions.
No Guarantee of Commercial Success or Contract Awards
While LeadGen and SHIFT7 1173 are engineered to streamline regulatory tracking and compliance reporting, SHIFT7 does not guarantee that your organization will win contracts, secure new clients, or pass third-party operator qualifications.
Contract awards and vendor qualifications remain strictly at the sole discretion of target clients, pipeline operators, and regulatory agencies. SHIFT7 bears zero responsibility for third-party commercial or regulatory decisions.
Indemnification
You agree to defend, indemnify, and hold harmless SHIFT7, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) resulting from or arising out of:
- Your organization's use or misuse of SHIFT7 products, LeadGen data, or 1173 tools.
- Any breach of these Terms of Service by your users.
- Commercial outreach, marketing campaigns, or legal claims initiated using LeadGen regulatory data.
- Inaccuracies or misrepresentations in compliance documents, audits, or training records submitted to third parties.
- Safety incidents, regulatory violations, or operational accidents occurring at your work sites.
Intellectual Property & Platform Ownership
SHIFT7 retains all rights, title, and interest in and to the platform, including LeadGen aggregation pipelines, database schemas, scoring engines, UI designs, logos, and documentation. Nothing in these terms grants you ownership of any SHIFT7 intellectual property.
Your organization retains full ownership of all proprietary policies, procedures, records, and client data uploaded to your isolated data environment.
Governing Law & Mandatory Binding Arbitration
These terms shall be governed by and construed in accordance with the laws of the United States and the State of jurisdiction where SHIFT7 operates, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these terms or the breach thereof shall be resolved exclusively through final and binding arbitration rather than in court. You agree to waive any right to participate in class actions or class-wide arbitration against SHIFT7.
